The Minister of Commerce, Dr. Majid bin Abdullah Al-Qasabi, confirmed that the approval of the Council of Ministers on the Commercial Transactions Law comes to organize the provisions of commercial contracts, which include: commercial sales, sales by supply, mediation, and commercial agency. It allows those who are 15 years old to practice commerce under specific regulations, and the system legislatively complements the Civil Transactions Law to stimulate the commercial and investment environment.
The system contains (271 articles), which include provisions that define the nature of commercial activities, the merchant and the store, the obligations of merchants, accounting records, commercial contracts, and provisions related to commercial papers “bills of exchange, promissory notes, and checks.” It replaces three existing systems: “the Commercial Law, the Commercial Papers Law, and the Commercial Books Law.”
The system allows minors “upon reaching the age of 15” to engage in commerce “with permission from their guardian, custodian, or the court,” and it redefines the merchant, specifying commercial activities and what constitutes a commercial act by practicing it once, as well as what is required to be considered a commercial activity.
The system enhances and encourages legitimate competition among merchants, prevents merchants from harming competitors, and clarifies the rights of the harmed party to resort to the court to request a cessation of harm and to seek compensation.
The system exempts certain categories of merchants from the obligation to maintain accounting records and emphasizes the preservation of these records through electronic or paper means “in Arabic,” while allowing the option to maintain them in another language. It also increases the ability to predict rulings in commercial transactions and reduces disputes.
The system pays attention to commercial contracts and organizes for the first time “in a single legislative document” the provisions of commercial sales, sales by supply, commercial agency, and mediation, outlining the provisions that ensure the protection of rights.
The Commercial Transactions Law “which will come into effect after (180) days from its publication in the official gazette” provides protection for the transactions of merchants and small and medium enterprises, helping them to expand through the conclusion of commercial contracts and working as agents.
