أقر وزير التجارة الدكتور ماجد القصبي القواعد المعدلة للمستفيد الحقيقي، والتي حددت معيار الملكية بنسبة 25% أو أكثر كشرط أساسي لاعتبار الشخص الطبيعي مستفيدًا حقيقيًا، سواء كانت ملكيته مباشرة أو غير مباشرة.
وفي حال عدم وجود مالك بهذه النسبة أو عند الشك في هويته، تعتمد القواعد على معيار السيطرة الفعلية والنهائية على الشركة، باعتبارها بديلاً للملكية عند تعذر تحديد المالك الحقيقي.
وأوضحت القواعد أنه عند عدم إمكانية تحديد المستفيد وفق المعيارين السابقين، تُسند الصفة — بحسب هيكل الشركة — إلى مدير الشركة أو عضو مجلس الإدارة أو رئيسها، ويُستخدم هذا المعيار كخيار أخير فقط.
كما نظمت القواعد مفهوم الشريك أو المساهم بالنيابة، إذ يُلزم كل من يمارس حقوق السهم أو الحصة نيابة عن شخص آخر بالإفصاح عن بيانات المستفيد الحقيقي، والإبلاغ عن أي تغيير خلال 15 يومًا.
وشملت التعديلات إعفاء الشركات التابعة لشركات مدرجة في السوق المالية من الإفصاح، نظرًا لالتزام الشركات المدرجة بمتطلبات إفصاح أعلى وفق أنظمة السوق.
وأكدت وزارة التجارة أن القواعد المحدثة تسهم في رفع شفافية الشركات وتسجيل بيانات المستفيد الحقيقي وفق المعايير الدولية، إلى جانب تيسير إجراءات الإفصاح بدمجها مع إجراءات تأسيس الشركات أو التأكيد السنوي للسجل التجاري.
وشددت الوزارة على الحفاظ الكامل على سرية البيانات، إذ لا يحق الاطلاع عليها إلا للجهات الرقابية المختصة، مع إشعار كل شخص يُسجل كمستفيد حقيقي، وعدم فرض أي رسوم مالية على القيد أو التأكيد السنوي.
وأكدت أن القواعد الصادرة تهدف إلى رفع مستوى شفافية الشركات توافقاً مع المتطلبات الدولية والمحلية ذات الصلة بمكافحة غسل الأموال وتمويل الإرهاب وتمويل انتشار التسلح، إضافة إلى تكوين قاعدة بيانات في الوزارة لقيد وحفظ بيانات المستفيد الحقيقي.
وأضافت أن القواعد ألزمت الشركات بإعداد سجل خاص بها لقيد بيانات المستفيد الحقيقي على أن يشمل السجل البيانات التالية: الاسم، والجنسية، ومكان وتاريخ الميلاد، وبيانات الهوية، وجواز السفر للمقيمين خارج المملكة، والعنوان، ووسيلة التواصل، ومعيار كونه مستفيداً حقيقياً ويشتمل على طبيعة الملكية أو السيطرة ومقدارها، وتاريخ تحقق صفة المستفيد.
وتأتي هذه الخطوة ضمن جهود الوزارة لتعزيز الامتثال، والحد من التستر التجاري، ورفع موثوقية البيئة الاستثمارية في المملكة.
The Minister of Commerce, Dr. Majid Al-Qasabi, approved the amended rules for the ultimate beneficiary, which set the ownership criterion at 25% or more as a fundamental condition for considering a natural person as an ultimate beneficiary, whether their ownership is direct or indirect.
In the absence of an owner at this percentage or when there is doubt about their identity, the rules rely on the criterion of actual and ultimate control over the company, considering it an alternative to ownership when the true owner cannot be identified.
The rules clarified that when it is not possible to identify the beneficiary according to the previous two criteria, the title — according to the company’s structure — is assigned to the company’s manager, a board member, or its chairperson, and this criterion is used only as a last resort.
The rules also organized the concept of a partner or proxy shareholder, requiring anyone exercising the rights of a share or stake on behalf of another person to disclose the data of the ultimate beneficiary and report any changes within 15 days.
The amendments included exempting subsidiaries of listed companies in the financial market from disclosure, due to the listed companies’ commitment to higher disclosure requirements according to market regulations.
The Ministry of Commerce confirmed that the updated rules contribute to enhancing the transparency of companies and registering the data of the ultimate beneficiary according to international standards, in addition to facilitating disclosure procedures by integrating them with the procedures for establishing companies or the annual confirmation of the commercial register.
The ministry emphasized the complete confidentiality of the data, stating that access is only permitted to the relevant regulatory authorities, with notification to every person registered as an ultimate beneficiary, and no financial fees imposed on registration or annual confirmation.
It affirmed that the issued rules aim to raise the level of transparency of companies in accordance with international and local requirements related to combating money laundering, terrorist financing, and the financing of the proliferation of weapons, in addition to forming a database in the ministry for recording and preserving the data of the ultimate beneficiary.
It added that the rules require companies to prepare a special register for recording the data of the ultimate beneficiary, which must include the following information: name, nationality, place and date of birth, identification data, passport for residents outside the Kingdom, address, means of communication, and the criterion for being an ultimate beneficiary, including the nature and extent of ownership or control, and the date of the beneficiary’s status being established.
This step comes as part of the ministry’s efforts to enhance compliance, reduce commercial concealment, and increase the reliability of the investment environment in the Kingdom.
