The Commercial Transactions System, which was approved by the Council of Ministers today (Tuesday), allows those who are 15 years old to engage in trade, provided they obtain permission from their guardian, custodian, or the court, as part of new regulations to organize commercial activities in Saudi Arabia.
The Minister of Commerce, Dr. Majid Al-Qasabi, confirmed that the system regulates the provisions of commercial contracts, including commercial sales, supply sales, mediation, and commercial agency, and it legislatively complements the Civil Transactions System, contributing to stimulating the commercial and investment environment.
The Ministry of Commerce revealed that the system includes 271 articles that regulate commercial activities, the definition of a trader, the merchant and store obligations, accounting records, contracts, and commercial papers, including promissory notes, bills of exchange, and checks. It replaces three existing systems: the Commercial System, the Commercial Papers System, and the Commercial Books System.
It clarified that the system redefined the trader and specified the activities that acquire the commercial status upon being practiced once, as well as those that require professionalism to gain this status, in addition to regulating fair competition among traders and preventing practices that harm competitors, allowing recourse to the court to request the cessation of harm and seek compensation.
The system exempted some categories of traders from the obligation to maintain accounting records and permitted them to keep them electronically or in paper form in Arabic, with the option to use another language, which contributes to facilitating business operations and reducing commercial disputes.
For the first time in a single legislative document, the system organized the provisions of commercial sales, supply sales, commercial agency, and mediation, preserving the rights of the parties involved in transactions, providing protection for small and medium enterprises, and supporting their expansion through contracts and commercial agencies.
The system is set to come into effect 180 days after its publication in the official gazette.
