في عالم الشركات العائلية هناك لعبة قديمة لا تُكتب في الأنظمة ولا تُدرّس في كليات القانون، لكنها تُمارس بإتقان شديد؛ يمكن تسميتها لعبة «البيضة والحجر»!
لعبة ظاهرها نظام وإجراءات واحترافية، وباطنها اختبار بسيط: أيهما سينكسر أولاً، البيضة أم الحجر؟ وغالباً ما تكون البيضة هي الشريك الأضعف.
تبدأ اللعبة حين يقرر أصحاب القوة إعادة ترتيب المشهد.. لا يأتي الأمر بصخب أو مواجهات مباشرة، بل يدخل مرتدياً ربطة عنق، حاملاً ملفات ومصطلحات قانونية تبدو كأنها خرجت من قاعة محكمة أو اجتماع مجلس إدارة… هنا يظهر المثلث الشهير؛ محامٍ يغزل الرواية القانونية بخيوط ناعمة، ومدقق حسابات لامع يختُم على الأوراق لتصبح أكثر أناقة ورسمية، وشريك يدفع الفاتورة من فلوس الشركاء لمصلحة واضحة نهاية القصة… حتى لو نهايتها كانت هدم المعبد..
لا أحد يقول إنه يكذب، ولا أحد يعلن أنه يخفي شيئاً، فالأمر أكثر ذكاءً من ذلك… الكلمات تتغير؛ لا يوجد استبعاد بل «إعادة هيكلة»، ولا توجد سيطرة بل «تطوير للحوكمة»، ولا يوجد نقل للنفوذ بل «إعادة تنظيم للأصول»؟
تصبح اللغة نفسها جزءاً من اللعبة؛ إذ يمكن للمفردات أن تضع العطر على أكثر القرارات قسوة.
وفي الشركات العائلية تحديداً، تصبح المسألة أشد تعقيداً، لأن المال لا يدخل وحده بالفخ.. بل يدخل معه الدم والأخوة والذكريات، وإرث العقد القديمة، وحسابات النفوذ…. وفجأة يجد الشريك الصغير نفسه واقفاً أمام منظومة كاملة؛ محاضر، تقييمات، اجتماعات، تقارير، وأختام، بينما يحاول فهم متى تحولت الشركة لمعركة يملك أحد أطرافها جيشاً كاملاً من ال……
المشكلة ليست في المحامي ولا في المدقق ولا في حق الشريك الكبير بالدفاع عن مصالحه! المشكلة حين يتحول المثلث من وسيلة لحماية العدالة إلى أداة لتزيين اختلالها…
فالخطر ليس أن يكون القانون في يد الأقوياء، بل أن يبدو الظلم قانونياً بالكامل.
أخطر أنواع الظلم ليس ذاك الذي يقتحم الباب بالقوة، بل ذاك الذي يستعمل النظام، ويخرج مختوماً بختم «قانوني»… وعندما يصبح المال هو المؤلف، والمحامي هو الشاعر، والمدقق هو شاهد الزور الصامت، فاعلم أن البيضة لم تخسر أمام الحجر…
هي فقط وئدت بأمر القانون..
In the world of family businesses, there is an old game that is not written in the regulations nor taught in law schools, but it is practiced with great skill; it can be called the “egg and stone” game!
This game appears to be systematic, procedural, and professional, but at its core, it is a simple test: which will break first, the egg or the stone? Often, the egg is the weaker partner.
The game begins when those in power decide to rearrange the scene… It does not come with noise or direct confrontations, but rather enters wearing a tie, carrying files and legal jargon that seem to have come from a courtroom or a board meeting… Here, the famous triangle appears; a lawyer weaving the legal narrative with delicate threads, a brilliant auditor stamping the papers to make them more elegant and official, and a partner who pays the bill from the partners’ money for a clear benefit at the end of the story… even if its conclusion is the destruction of the temple…
No one says they are lying, and no one announces that they are hiding something, for the matter is more clever than that… The words change; there is no exclusion but “restructuring,” there is no control but “governance development,” and there is no transfer of influence but “asset reorganization”?
The language itself becomes part of the game; as the vocabulary can perfume even the harshest decisions.
In family businesses specifically, the matter becomes more complicated, because money does not enter the trap alone… it brings with it blood, brotherhood, memories, the legacy of old contracts, and calculations of influence…. Suddenly, the small partner finds themselves standing before a complete system; minutes, evaluations, meetings, reports, and seals, while trying to understand when the company turned into a battle where one party owns a whole army of…
The problem is not with the lawyer, nor with the auditor, nor with the big partner’s right to defend their interests! The problem arises when the triangle transforms from a means of protecting justice to a tool for beautifying its imbalance…
For the danger is not that the law is in the hands of the powerful, but that injustice appears to be entirely legal.
The most dangerous type of injustice is not the one that breaks down the door with force, but the one that uses the system, and comes out stamped with a “legal” seal… And when money becomes the author, the lawyer the poet, and the auditor the silent witness of falsehood, know that the egg has not lost to the stone…
It has merely been buried by the order of the law…
